Overview

Join us for the 34th Annual LLCs, LPs and Partnerships Conference, a premier event for legal and business professionals working with unincorporated entities. Held September 18–19, 2025, this two-day program features a distinguished faculty of leading practitioners and academics who will explore the latest developments in LLCs, LPs, and partnerships. Attendees will gain access to valuable forms, model agreements, and best practices for drafting and negotiating key clauses and provisions, while also analyzing complex issues faced by today’s practitioners.
 
This year’s agenda includes timely updates on case law, legislative changes, and regulatory developments, as well as deep dives into topics such as securities laws, acquisitions and dispositions, professional partnerships, and the evolving role of AI in legal practice. The program also includes ethics-focused sessions and practical guidance on litigation, insurance, and cybersecurity.
 
By the end of the program attendees will be able to:

  • Identify and analyze recent case law developments affecting LLCs, LPs, and partnerships, including fiduciary duties and veil piercing.
  • Evaluate legal and ethical considerations in drafting and interpreting company and partnership agreements.
  • Understand the application of federal and state securities laws to unincorporated entities.
  • Compare structuring options for acquisitions and dispositions of partnership interests, including tax implications.
  • Assess risk management strategies, including insurance for M&A transactions and cybersecurity best practices.
  • Navigate regulatory changes and their impact on business entities, including updates from the Secretary of State and the Texas Business Courts.
  • Apply ethical principles in advising clients on entity formation, governance, and dispute resolution.

The University of Texas School of Law is registered with the National Association of State Boards of Accountancy (NASBA) as a sponsor of continuing professional education on the National Registry of CPE Sponsors. State boards of accountancy have final authority on the acceptance of individual courses for CPE credit. Complaints regarding registered sponsors may be submitted to the National Registry of CPE Sponsors through its website: www.nasbaregistry.org.

Delivery Method: Group-Live (UT Law CLE is a provider of NASBA Group-Live credit only, which excludes online offerings.

To comply with NASBA Standards, attendees claiming CPE credit must sign in to verify attendance for each segment. Attendance sign-in sheets will be available at the registration desk. You will need your CPA license number to sign in. A CPE Certificate of Completion will be provided at the conclusion of the conference.

Your acknowledgment of the pop-ups will inform how much credit you are able to claim at the end of the program. Electronic attendance sign-in sheets will be shared in the webcast chat throughout the program. You will need your CPA license number to sign in. You will also need to make sure you that you complete the sign-in documents as they are shared. Once the program concludes you will need to claim your credit in the system, using the orange "Claim Credit" button at the bottom of the webcast player page. Once this is completed you will be able to download your Certificate of Completion that you may use to report your credit to the appropriate state board of accountancy. Reporting: CPAs are responsible for reporting CPE credits earned to their state's accountancy board, and must retain appropriate documentation of their participation in learning activities. Visit your state’s reporting website for more information or www.nasba.org.
TX Accounting CPE – 14.40 hrs
The University of Texas School of Law (Provider #250) live webcast presentations meet the requirements and are presumptively approved by the Texas State Board of Public Accountancy for Texas Accounting CPE credit based on a 50-minute credit hour. Approved for general CPE credit only.

This accreditation requires attendance verification. In compliance with the rules, UT Law CLE monitors and records attendee responses to questions that randomly appear during the live webcast presentation. The response record is detailed on the Certificate of Completion.

To claim Texas Accounting CPE credit, the Texas Accounting CPE credit option must be selected PRIOR to viewing the live webcast. Upon claiming credit, a Certificate of Completion will be emailed to you. Self-report your CPE credit directly to the Texas State Board of Public Accountancy.

Parking is available in the conference center's attached garage, as well as Rowling Hall Garage. Both garage entrances are located on W 20th St. Guests may self-park or use the hotel's valet services at the University Avenue entrance. Parking rates are subject to change without notice.

Additional Information

The conference will be hosted in the Guadalupe Classroom on level 4 of Rowling Hall.

If you are staying in the hotel, make sure to park in the AT&T Conference Center Garage. To get to Rowling from the hotel, cross the courtyard between the hotel and the Conference center, then the courtyard between the AT&T Conference Center and Rowling Hall, but turn towards the left and enter the elevator bay by the "What Starts Here" windows. Then take the elevators up to level 4.

If you are driving in for the day, please park in the Rowling Hall garage and take the elevators up to level 4.
